硅谷留美博士企业家协会SCOBA由在硅谷的留美中国大陆华裔企业家和技术专家组成，大部分成员已经和正在国内外兴办高科技企业。部分成员担任中国科技部, 信息产业部, 外经贸部, 及北京, 上海, 湖南, 辽宁, 大连等省市政府的技术顾问, 协助参与中国高科技产业发展的规划与决策. 有些成员在中国国内大学或研究所兼任教授或研究员, 包括中国电子科技大学, 北京大学, 大连理工大学, 东北大学, 中南大学医学院等, 经常回国交流学术，组织培训及介绍创业经验，为培养中国科技人才和小企业发展作贡献。

The English name ofThe association is Silicon Valley Chinese Overseas Business Association (SCOBA) The Chinese name is Gui Gu Liu Mei Bo Shi Qi Yue Jia Xie Hui (in English equal to Silicon Valley US-resident Doctorial Entrepreneurs Association) SCOBA is a nonprofit, nonpolitical organization to be registered in California. ItsMembers are overseas Chinese scholars in or fromThe Silicon Valley. Association is founded by founders who initiatedThe organization and have played important roles in activities duringThe pre-SCOBA formation period. 1. Board of Directors ForThe year 2000,The transitional board consists ofThe 5 founders. From 2001 on,The board will be re-elected according toThe election rules. The Association election rules will be determined by an election committee appointed byThe board. BoardMembers can be re-elected. Each director pays $200Membership fee annually. ForThe year 2000, a transitional board consists of 5 founders. Board meetings：once a month or quarter. On reasonable grounds,The board can disqualifyMembers by majority vote. On reasonable grounds,The Board can impeach an officer by majority vote. The 5 founders ofThe association are：Dr. Jin Huang, Dr. Yanhui Ma, Dr. Zezhong Peng, Dr. Yue Wu, Dr. Dongping Zhu

2. Officers：The board appoints all officers for a term of 2 years, except forThe year 2000. The following officer positions are established forThe association in 2000：Chairman - organizes meetings ofThe board.

President - manages all association businesses, reports toThe board.

VP (secretary) - manages daily operations and keeps all records. VP (treasurer) - managesThe finance and tax affairs.

The board makes final decision on all association matters The board is elected by all associationMembers every two years (except forThe year 2000), and reelection of boardMembers is allowed. The majority rule applies in all board voting and decisions. The board hasThe right to accept or remove officers andMembers. The board hasThe right to change bylaws when needed. Motions - When a boardMember proposes aMotion and it is second by one or more boardMembers, it must be voted by allThe board.
